The service服务内容
ProofMarket publishes manually reviewed profiles of small software businesses and arranges introductions between sellers and buyers. It is not a party to any sale, is not a broker, escrow agent or financial adviser, and does not receive or hold acquisition funds. ProofMarket also shows anonymised profiles of early-stage projects and makes manual introductions between their founders and reviewed investors, under the additional terms below.ProofMarket 发布经人工审核的小型软件项目介绍，并为买卖双方安排对接。ProofMarket 不是任何交易的当事方，不是经纪人、托管方或财务顾问，也不接收或持有收购资金。ProofMarket 另外展示早期项目的匿名介绍，并在创始人与经审核的投资人之间进行人工引荐，适用下文的补充条款。

Sellers卖家责任
You must be authorized to sell the assets you submit, provide accurate and current information, disclose material costs, liabilities and transfer restrictions, and tell us promptly if a listing is no longer available.你必须有权出售所提交的资产，提供真实、最新的信息，披露重大成本、负债与转让限制，并在挂牌不再可售时及时告知我们。
Buyers买家责任
Evaluate financial records, intellectual property, contracts, liabilities and transferability yourself. Past revenue does not predict future results. No listing is a promise of profit.请自行评估财务记录、知识产权、合同、负债与可转让性。过往收入不代表未来业绩。任何挂牌都不构成盈利承诺。
Verification核验
A verification note covers only the evidence and period it states. It is not an audit, endorsement or guarantee. We may decline, edit, suspend or remove any listing.核验说明仅涵盖其写明的证据与时间段，不构成审计、背书或保证。我们可以拒绝、修改、暂停或下架任何挂牌。
Fees费用
Applying is free. During the pilot the first approved sellers are listed free, buyers are free, and there is no commission. No payments are taken on this website. If a fee is introduced later (planned: US$99 one-time per 90-day listing), it will be agreed with you in writing before you pay, and it never guarantees inquiries or a sale.申请免费。试点期间首批通过审核的卖家免费挂牌，买家免费，不收佣金。本网站不收取任何付款。若未来收费（计划为每次 90 天挂牌一次性 99 美元），会在付款前与你书面确认，且付费不保证询价或成交。
Early-stage projects and investor introductions早期项目与投资人引荐
- What it is. Display, verification and manual introductions only. Founders submit a project; the operator verifies what can be verified; an anonymised profile is published with the founder’s approval; investors apply and are reviewed; when a reviewed investor asks for an introduction and the founder agrees, the operator introduces them by email; the parties then negotiate directly, offline.服务性质。仅提供信息展示、核验与人工引荐。流程为：创始人提交项目 → 运营者核验能核验的内容 → 经创始人确认后发布匿名介绍 → 投资人申请并接受审核 → 经审核的投资人申请引荐且创始人同意后，运营者通过邮件引荐 → 双方在线下直接洽谈。
- Not a securities offering. Nothing on ProofMarket is an offer to sell, or a solicitation of an offer to buy, shares, equity or any other securities, and nothing on it is investment advice.不构成证券发行。ProofMarket 上的任何内容，均不构成出售或招揽购买股份、股权或任何其他证券的要约，也不构成投资建议。
- No fundraising on the platform. ProofMarket does not raise, collect, hold, transfer or manage money for anyone and does not accept investments. - No terms published. A profile may show an indicative funding range and planned use of funds as described by the founder. It never contains an offer, price, valuation, share of the company or other investment terms. - Reviewed investors only — not the public. Investor applications are reviewed manually. Investors self-declare that they are qualified / professional investors under the rules that apply to them; the operator may ask for confirmation and may decline any application. Full materials and founder contact are shared only with the founder’s consent. - Investors decide for themselves. Investors make their own decisions, do their own due diligence and should take independent legal, tax and financial advice. - Founders. You must be a founder of, or authorised to submit, the project and must provide accurate information. You must not use ProofMarket to make a public offer or to solicit investment from the general public, and you are responsible for complying with the laws that apply to any investment you agree. Liability责任限制
To the extent permitted by law, ProofMarket is not liable for any transaction or investment between users or for losses arising from reliance on listing information. Nothing here removes rights that cannot legally be excluded.在法律允许的范围内，ProofMarket 不对用户之间的任何交易或投资，或因依赖挂牌及项目信息造成的损失承担责任。本条款不排除依法不能排除的权利。
Governing law适用法律
These terms are governed by the laws of the People’s Republic of China. If a dispute arises, we will first try to resolve it in good faith by email; if that fails, it may be submitted to a competent court at the operator’s location (Tianjin, China), unless mandatory law gives you the right to another forum.本条款适用中华人民共和国法律。如发生争议，双方应首先通过邮件友好协商解决；协商不成的，可提交运营方所在地（中国·天津）有管辖权的人民法院处理，但法律强制性规定另有管辖的除外。
